1. Agreement to Terms

Welcome! These Terms of Service (the “Terms”) are a legal contract between you and Staging.com, Inc. (“Staging.com,” “we,” “us,” or “our”) and govern your access to and use of the Staging.com website (www.staging.com) and any associated applications, tools, or services (collectively, the “Service”).

BY CLICKING “I ACCEPT,” OR BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS—INCLUDING OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

2. Arbitration Notice

Except for certain disputes outlined in Section 17 below, all disputes will be resolved by binding individual arbitration. BY ACCEPTING THESE TERMS, YOU AND STAGING.COM WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

3. Service Overview

Staging.com is an AI-powered virtual staging platform that transforms your empty or poorly furnished property photos (“Original Photos”) into professionally staged images (“Staged Images”). Our proprietary AI Staging Engine (“Staging Engine”) analyzes the Original Photos you upload and produces multiple design styles, angles, and décor options for real estate agents, interior designers, and property managers.

4. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you (a) are 18 or older; (b) have not been suspended or removed from the Service; and (c) will use the Service in compliance with all applicable laws.

5. Accounts & Registration

Certain features require you to create an account or sign in with a third-party login (e.g., Google, Facebook). You are responsible for maintaining the confidentiality of your credentials and for activity under your account. You authorize Staging.com to retrieve necessary information from such third-party accounts to provide the Service.

6. Fees & Payments

  • Pricing. All prices are listed in U.S. Dollars. We may change pricing at any time with reasonable advance notice.
  • Subscriptions. If you purchase a subscription (“Subscription Service”) it will automatically renew for the same period unless cancelled before the renewal date.
  • Billing Authorization. You authorize us (or our payment processor) to charge all applicable fees, taxes, and recurring payments to the payment method on file.
  • Delinquent Accounts. We may suspend or terminate your access for unpaid amounts and may charge collection fees associated with overdue balances.

7. Licenses & Intellectual Property

7.1 Limited License

Subject to your compliance with these Terms, Staging.com grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business purposes.

7.2 Staged Images

Upon full payment and subject to these Terms, Staging.com assigns to you all rights, title, and interest it may have in the Staged Images generated from your Original Photos. This assignment does not apply to Staged Images generated for other users.

7.3 License Restrictions

Except as permitted by law, you may not (a) reproduce or distribute the Service; (b) modify or create derivative works of the Service; or (c) circumvent any security or usage-control features.

8. User Content

User Content” includes Original Photos, text, reviews, or any material you upload. You retain ownership of your User Content, but you grant Staging.com a worldwide, royalty-free license to host, process, and display it solely for (i) providing and improving the Service, (ii) complying with law, and (iii) enforcing these Terms.

9. Prohibited Conduct

You agree not to, and will not assist or enable others to:

  • Use the Service for any unlawful purpose.
  • Upload content that you do not have the right to use.
  • Interfere with or disrupt the Service or its security features.
  • Reverse-engineer or scrape the Service.
  • Send spam, malware, or engage in fraudulent activity.

10. Intellectual Property Rights Protection (DMCA)

We respect intellectual-property rights and respond to valid DMCA notices. If you believe any content on the Service infringes your copyrights, please send a notice to support@staging.com that meets the requirements of 17 U.S.C. §512(c)(3).

11. Modification of Terms

We may update these Terms. Material changes become effective 30 days after we post them or notify you. Continued use of the Service constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate your account at any time, with or without notice, for any violation of these Terms. Upon termination, all licenses granted to you cease, and you must stop using the Service. Sections that by their nature should survive will survive termination (e.g., indemnity, disclaimers, limitation of liability).

13. Indemnity

You agree to indemnify and hold harmless Staging.com and its affiliates from all claims, damages, and expenses (including attorneys’ fees) arising out of your (a) misuse of the Service, (b) violation of these Terms, or (c) infringement of any third-party rights.

14. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” STAGING.COM DISCLAIMS ALL WARRANTIES—EXPRESS OR IMPLIED—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED STAGED IMAGES MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES; YOU USE THEM AT YOUR OWN RISK.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STAGING.COM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US DURING THAT PERIOD OR (B) $100.

16. Dispute Resolution & Arbitration

Binding Arbitration. Except for the exclusions below, any dispute arising under these Terms will be resolved by binding arbitration administered by JAMS under its Consumer Arbitration Rules. The Federal Arbitration Act governs this agreement.

Exclusions. You may bring individual claims in small-claims court or seek injunctive relief for intellectual-property infringement in any competent court.

No Class Actions. Disputes must be brought on an individual basis; class or representative actions are not permitted.

Opt-Out. You may opt out of arbitration by sending a written opt-out notice to support@staging.com within 30 days of first accepting these Terms.

17. Miscellaneous

Governing Law. These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The exclusive venue for any permitted non-arbitrable action is the state or federal courts located in Santa Clara County, California.

Electronic Communications. By using the Service, you consent to receive electronic communications from us. These communications satisfy any legal requirements that such communications be in writing.
